1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “User,” “Client,” or “Provider”) and WorldKam LLC (“WorldKam,” “we,” “us,” or “our”), a Delaware limited liability company located at 1201 North Market Street, Suite 111, Wilmington, DE 19801.
By accessing or using the WorldKam mobile application, website, or any related services (collectively, the “Platform”), creating an account, or checking the box indicating your acceptance, you agree to be bound by these Terms, our Privacy Policy, our Cancellation Policy, and, if you act as a Provider, the Provider Agreement, each of which is incorporated herein by reference.

PLEASE READ SECTION 18 (BINDING ARBITRATION AND CLASS ACTION WAIVER) CAREFULLY. IT REQUIRES THAT MOST DISPUTES BE RESOLVED THROUGH INDIVIDUAL BINDING ARBITRATION AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS.
2. Eligibility
You must be at least eighteen (18) years of age and capable of forming a legally binding contract to use the Platform. By using the Platform, you represent and warrant that you meet this requirement. The Platform is not directed to, and we do not knowingly collect information from, anyone under 18.
3. Description of the Platform; WorldKam's Role as a Marketplace
WorldKam operates a technology platform that connects individuals and businesses seeking photography, videography, and related creative services (“Clients”) with independent professional service providers (“Providers”).
WorldKam is a venue and neutral marketplace. We do not employ Providers, do not direct or control the manner in which services are performed, and are not a party to the agreement for services formed between a Client and a Provider. We do not provide photography or videography services ourselves. Providers are independent contractors, not employees, agents, partners, or joint venturers of WorldKam.
WorldKam does not guarantee the quality, safety, legality, or timeliness of any services booked through the Platform, nor the accuracy of any listing or User content. Any dispute regarding services is between the Client and the Provider, though WorldKam may, at its sole discretion, facilitate resolution.
4. Account Registration and Security
You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You may not share your account, allow others to use your account, or transfer your account to another person. Notify us immediately at [email protected] of any unauthorized use.
5. Bookings, Payments, and Third-Party Fees
5.1 Booking. When a Client books a Provider, a direct contract for services is formed between them, subject to these Terms and the Cancellation Policy.
5.2 Payment Processing. WorldKam uses third-party payment processors (including Stripe) to facilitate payments. By using the Platform, you agree to the applicable processor's terms of service. WorldKam assists with payment facilitation but does not store full payment card data.
5.3 Third-Party Fees Are Non-Refundable and Passed Through. Payment processing fees, banking fees, currency conversion fees, and other charges imposed by third parties (including Stripe and financial institutions) are outside WorldKam's control. These third-party fees are passed through to and borne by the Client or Provider, as applicable, and are non-refundable, including in the event of a cancellation or refund, except where required by law. WorldKam does not retain third-party processing fees.
5.4 Service Fees. WorldKam may charge service fees, commissions, or other fees, which will be disclosed before you complete a transaction.
6. Subscriptions and California Automatic Renewal Law (ARL) Compliance
6.1 Subscription Terms. Certain features may be offered on a recurring subscription basis. Before you are charged, we will present clear and conspicuous disclosure of: (a) the recurring nature of the subscription; (b) the subscription length and billing frequency; (c) the recurring charge amount; (d) the cancellation policy; and (e) the method to cancel.
6.2 Affirmative Consent. We will obtain your affirmative consent to the subscription, including the automatic-renewal and continuous-service terms, before charging you.
6.3 Automatic Renewal. Unless you cancel, your subscription automatically renews at the end of each billing period at the then-current rate, and your payment method will be charged. You authorize us to charge the applicable recurring fees until you cancel.
6.4 Easy Cancellation. You may cancel at any time through an easy-to-use online mechanism in your account settings or app store subscription settings, or by contacting [email protected]. If you accepted the subscription online, you may cancel online without obstacles. Cancellation takes effect at the end of the current billing period; we do not provide prorated refunds for partial periods unless required by law.
6.5 Acknowledgment Notice. After purchase, we will provide an acknowledgment that includes the automatic-renewal terms, cancellation information, and how to cancel, in a manner you can retain.
6.6 Material Changes. If we materially change subscription terms, we will provide clear and conspicuous notice and obtain consent as required by applicable law.
7. User-Generated Content (UGC)
7.1 Your Content. The Platform allows Users to upload, post, or transmit photos, videos, audio, text, reviews, and other content (“User Content”). You retain ownership of your User Content, subject to the license below and to any separate agreement between Client and Provider regarding deliverable ownership.
7.2 License to WorldKam. You grant WorldKam a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, and distribute your User Content solely as necessary to operate, provide, improve, secure, and promote the Platform.
7.3 Your Representations. You represent and warrant that you own or have all necessary rights to your User Content and that it does not infringe any third party's intellectual property, privacy, or other rights, and does not violate any law.
7.4 Image Storage Limit. Certain services allow deliverables, and uploaded session content may be stored on the Platform for a limited period (currently up to sixty (60) days after delivery) after which they may be deleted. Clients and Providers are responsible for downloading and independently storing their content. WorldKam is not a permanent backup or archival service.
7.5 No Obligation to Monitor. We are not obligated to monitor User Content but may remove or disable any content that violates these Terms or applicable law, at our sole discretion.
8. DMCA Copyright Policy and Takedown Procedure
WorldKam respects intellectual property rights and complies with the Digital Millennium Copyright Act (“DMCA”). It is our policy to remove infringing material and to terminate, in appropriate circumstances, repeat infringers.
8.1 Notice of Infringement. If you believe content on the Platform infringes your copyright, send a written notice to our Designated Agent containing: (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work; (c) identification of the infringing material and information to locate it; (d) your contact information; (e) a statement of good-faith belief; and (f) a statement under penalty of perjury that the information is accurate.

8.3 Counter-Notification. If your content was removed and you believe it was a mistake, you may submit a counter-notification with the elements required under 17 U.S.C. § 512(g).
8.4 Repeat Infringers. We will terminate accounts of Users who are determined to be repeat infringers.
9. Community Guidelines and Conduct Standards
All Users must comply with the following. Violations may result in content removal, account suspension or termination, withheld payment, and/or legal action.
- Safety and Lawful Conduct. No illegal activity, harassment, threats, stalking, violence, or endangerment.
- No Sexual or Explicit Services. Strictly prohibited.
- No Weapons, Drugs, or Intoxication. No illegal weapons, drugs, or impaired services.
- Non-Discrimination. No discrimination based on protected characteristics. Service animals must be accommodated.
- Property and Premises. Users must respect property and obtain necessary permissions.
- Guests and Parties. A Client is responsible for the conduct of guests at a session.
- Honest Use. No fraudulent, deceptive, or manipulative behavior.
10. Anti-Fraud and Platform Integrity
The following are strictly prohibited and constitute material breaches:
- Fake or Manipulated Bookings. Creating bookings with no intent to complete them.
- Wrongful Retention of Deliverables. Retaining or withholding images/videos to extract additional off-Platform payment.
- Dispute and Chargeback Abuse. Filing false disputes or chargebacks.
- Identity Fraud. Misrepresenting identity, credentials, or insurance.
We may investigate suspected fraud, withhold or reverse payments, suspend accounts, and report to processors and authorities.
11. Keep-It-On-Platform; No Circumvention
11.1 All bookings, communications regarding bookings, and payments must occur through the Platform. Users may not share personal contact information for the purpose of arranging services off-Platform.
11.2 Clients and Providers introduced through the Platform may not circumvent the Platform to transact off-Platform.
11.3 Communications Recording. Communications conducted through the Platform may be recorded and monitored for safety, quality, and dispute resolution. By using these features you consent to such recording where permitted by law.
12. Provider-Specific Terms (Summary)
Providers are independent contractors and are additionally bound by the WorldKam Provider Agreement. In the event of conflict between these Terms and the Provider Agreement, the Provider Agreement controls for Providers.
13. Cancellations and Refunds
Cancellations, rescheduling, no-shows, and refunds are governed by the WorldKam Cancellation Policy, incorporated by reference. Third-party processing fees are non-refundable as described in Section 5.3.
14. Privacy and Data; CCPA/GDPR
Your use of the Platform is subject to our Privacy Policy, incorporated by reference. The Privacy Policy describes the data we collect, including through third-party analytics and advertising tools, and explains how you can exercise your right to opt out via our “Do Not Sell or Share My Personal Information” mechanism.
15. Email and Marketing Communications (CAN-SPAM)
By creating an account, you consent to receive transactional communications. You may also receive marketing communications. All marketing emails will: (a) use honest, non-deceptive subject lines; (b) include a clear unsubscribe link; and (c) include WorldKam's valid physical mailing address. We will honor opt-out requests promptly.
16. Intellectual Property; WorldKam Marks
The Platform, including its software, design, text, graphics, and the WorldKam name and logos, is owned by WorldKam and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Platform for its intended purpose.
17. Disclaimers and Limitation of Liability
17.1 “AS IS.” THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
17.2 No Liability for Third-Party Conduct. WorldKam is not liable for the acts, omissions, conduct, or services of Clients or Providers.
17.3 Force Majeure. Neither WorldKam nor any User shall be liable for failure to perform due to events beyond reasonable control.
17.4 Limitation. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORLDKAM'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO WORLDKAM IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). WORLDKAM SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
18. Binding Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
18.1 Agreement to Arbitrate. You and WorldKam agree that any dispute shall be resolved exclusively by final and binding individual arbitration.
18.2 Informal Resolution First. Before initiating arbitration, the party must send a written notice and attempt resolution for sixty (60) days.
18.3 Arbitration Rules. Administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules.
18.4 Location. Wilmington, Delaware, or another mutually agreed location; telephonic, video, or documents-only proceedings may be agreed.
18.7 CLASS ACTION WAIVER. YOU AND WORLDKAM AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
18.8 30-Day Opt-Out. You may opt out by sending written notice to [email protected] within thirty (30) days of first accepting these Terms.
18.10 Jury Trial Waiver. YOU AND WORLDKAM WAIVE ANY RIGHT TO A JURY TRIAL.
19. Indemnification
You agree to indemnify, defend, and hold harmless WorldKam and its officers, members, employees, and agents from any claims arising out of your use of the Platform, your User Content, your violation of these Terms, or your interactions with another User.
20. Suspension and Termination
We may suspend or terminate your access at any time for any violation of these Terms. You may close your account at any time. Sections that by their nature should survive termination shall survive.
21. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. The Federal Arbitration Act governs Section 18.
22. Changes to These Terms
We may modify these Terms at any time. Material changes will be communicated via the Platform or email. Your continued use after changes become effective constitutes acceptance.
23. Miscellaneous
These Terms, together with the incorporated policies, constitute the entire agreement between you and WorldKam. If any provision is held unenforceable, the remaining provisions remain in effect.
