These Terms of Service (“Terms”) are a legal agreement between you and WorldKam LLC (“WorldKam,” “we,” “us,” or “our”). They govern your access to and use of our website located at www.worldkam.com (the “Site”) and our mobile applications, products, and related services (collectively, the “Service”).By accessing or using the Service, creating an account, or clicking “I Agree,” you agree to be bound by these Terms, including the Dispute Resolution; Arbitration; Class Action Waiver in Section 16 and our Privacy Policy. If you do not agree, do not access or use the Service.WorldKam operates an online marketplace that connects photographers and videographers (“Providers”) with users seeking on‑demand photography and videography services (“Clients”). WorldKam itself does not provide photography or videography services.

1. Key Definitions“User,” “you,” or “your”: Any person or entity that accesses or uses the Service, including Clients and Providers.“Client”: A User who completes WorldKam’s registration process to book or purchase services from a Provider.“Provider”: A photographer or videographer (or their business) accepted by WorldKam to offer services through the Service.“Services”: Photography, videography, and related services (e.g., shooting, editing, delivery of digital files) provided by Providers to Clients.“Booking”: A confirmed appointment between a Client and a Provider made through the Service.“Content”: Photographs, videos, digital negatives, camera RAW files, or other data files created by a Provider in connection with a Booking.“Purchased Content”: Content that a Client purchases (e.g., via packages, add‑ons, or post‑shoot purchases) as displayed and described in the Service.“Provider Fees”: The fees charged by a Provider for Services and Purchased Content for a Booking.“Service Fee”: Any fee charged by WorldKam to Clients for access to or use of the Service.“WorldKam Fee”: The fee retained by WorldKam from Provider Fees for operating the marketplace and related services.“Third‑Party Processing Fees”: Any transaction, processing, chargeback, or similar fees charged by third‑party payment processors (e.g., Stripe) or financial institutions (e.g., banks), including currency conversion and cross‑border fees.

2. Relationship of the Parties; Marketplace Nature2.1 Marketplace Only; No EmploymentWorldKam provides a marketplace and related technology that allows Clients and Providers to find, communicate, book, and pay each other. You acknowledge and agree that:WorldKam is not a party to any agreement between Clients and Providers, except as expressly stated in these Terms (e.g., as limited payment collection agent).WorldKam is not a photographer, videographer, broker, insurer, employer, or employment agency.Providers are independent contractors, not employees, agents, or representatives of WorldKam.Any agreement for Services is solely between the applicable Client and Provider.2.2 Limited Agency for Payments OnlyWorldKam acts solely as a limited payment collection agent for Providers to accept Provider Fees from Clients, as described in Section 8. This limited role does not make WorldKam a party to the underlying Services contract and does not create any employment, joint venture, or partnership relationship.

3. Eligibility and Accounts3.1 EligibilityYou may use the Service only if you:Are at least 18 years old (or the age of majority in your jurisdiction); andHave full power and authority to enter into these Terms.If you are accessing the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.3.2 Registration and Account InformationTo access certain features, you must create an account and provide accurate, current, and complete information. You agree to keep this information updated. You may not share your account credentials or allow others to use your account.3.3 SecurityYou are responsible for all activity that occurs under your account. Notify WorldKam immediately of any unauthorized use or breach of security. WorldKam is not liable for losses arising from your failure to safeguard your account.3.4 Account Suspension and TerminationWorldKam may suspend or terminate your account or access to the Service at any time, with or without notice, for any reason or no reason, including if we believe you violated these Terms. You may terminate your account at any time by following the instructions in your account settings.

4. Use of the Service4.1 License to UseSubject to these Terms, WorldKam grants you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Service for your personal or internal business purposes.4.2 Mobile ServicesYour carrier’s standard data and messaging charges may apply when using the Service on a mobile device. By using mobile features, you consent to receiving communications to your device as described in our Privacy Policy.4.3 ModificationsWorldKam may modify, suspend, or discontinue any part of the Service, or change or impose fees for certain features, at any time, with or without notice. We are not liable to you or any third party for such changes.4.4 Usage Limits and StorageWorldKam may impose limits on storage and usage. We are not responsible for loss or failure to store any data or content.

5. Roles, Matching, and Bookings5.1 MatchingWorldKam may suggest or match Clients with Providers using criteria such as location, availability, rating, and service type. Final selection of a Provider is always the Client’s decision. WorldKam may reassign or replace a Provider if necessary (e.g., due to cancellation or emergency) and will endeavor to notify the Client.5.2 Booking ProcessBookings must be made through the Service. A Booking is confirmed when the Client completes payment authorization and the Provider accepts the Booking (or is auto‑assigned, where applicable). You agree to review Booking details (time, location, duration, Services, and pricing) before confirming.5.3 Off‑Platform CommunicationsUsers may not circumvent the Service for the purpose of avoiding fees, as detailed in Section 10 (No Off‑Platform Activity / Non‑Circumvention).

6. User Conduct6.1 Prohibited ConductYou agree not to:Infringe any intellectual property or proprietary rights.Upload viruses or harmful code.Harass, threaten, or harm others.Post unlawful, obscene, hateful, or otherwise objectionable content.Use the Service to send spam or unsolicited communications.Attempt to bypass security or access non‑public systems.Violate any applicable law.Breach any WorldKam community guidelines made available on the Site.6.2 International Use; Export ControlsYou agree to comply with all applicable export control and trade sanctions laws. Software and data transmission may be subject to U.S. export controls. You must not use or access the Service where prohibited by law.

7. Provider TermsThis Section applies specifically to Providers, in addition to all other Terms.7.1 Provider Onboarding and Background ChecksProviders must submit accurate and complete information about their identity, experience, portfolio, availability, and other information requested by WorldKam. WorldKam may conduct background checks where permitted by law. WorldKam may approve or reject any Provider at its sole discretion and may suspend or remove Providers at any time.7.2 Licenses, Permits, and ComplianceEach Provider is solely responsible for:Obtaining and maintaining all permits, licenses, and approvals required to provide Services.Complying with all applicable laws, regulations, and industry standards (including labor, tax, safety, and privacy laws).Maintaining any required insurance (e.g., general liability, professional liability) as may be required by law or by WorldKam policy.7.3 Independent Contractor StatusProviders are independent contractors and not employees of WorldKam. Providers:Control the manner and means of performing Services.Are responsible for all equipment, tools, and expenses.Are solely responsible for reporting and paying any and all income, self‑employment, sales, or other taxes arising from payments received via the Service.Are not eligible for any WorldKam employee benefits.7.4 Service Quality; CancellationsProviders must perform Services in a professional, workmanlike manner consistent with industry standards. Providers are expected to honor accepted Bookings and follow WorldKam’s cancellation and rescheduling policies. WorldKam may assess penalties, adjust payouts, or suspend accounts for repeated cancellations, no‑shows, or service quality issues.7.5 ConfidentialityProviders may receive or access WorldKam’s confidential or proprietary information, including but not limited to processes, business strategies, non‑public product information, or user data. Providers agree to:Use such information solely for purposes of providing Services through the Service.Not disclose it to third parties, except as expressly authorized.Protect it using at least reasonable care.

8. Payment Terms8.1 Payment Processing; Role of Third PartiesWorldKam uses third‑party payment processors (currently Stripe) and financial institutions (e.g., banks, card networks) to facilitate payments between Clients and Providers.By using the Service, you authorize WorldKam and its payment processors to charge, debit, credit, or otherwise transact on your designated payment methods for amounts due.Your use of payment processing is subject to the separate terms, conditions, and fees of those third‑party processors and financial institutions.8.2 Third‑Party Transaction Fees (Stripe, Card Networks, Banks)To maximize transparency and reduce disputes:WorldKam’s Role: WorldKam facilitates payment processing but does not control and cannot waive, refund, or alter:Stripe or other payment processor fees;Card network fees;Bank transfer, wire, or currency conversion fees;Chargeback fees or penalties.Pass‑Through of Fees:Clients: For Client‑initiated payments and refunds, any third‑party transaction fees (e.g., Stripe fee on the original payment, non‑refundable processing fees, chargeback fees) may be passed through to the Client and deducted from any refund or charged as a separate line item, to the fullest extent permitted by law.Providers: For payouts to Providers, any third‑party transaction or payout fees (e.g., Stripe payout fee, cross‑border fee, currency conversion fee, bank rejection fee) may be deducted from the Provider’s payout or charged as a separate line item, to the fullest extent permitted by law.Display of Fees: Where feasible, the Service will display:The Provider Fees;The Service Fee (if any); andAny known or estimated third‑party fees or their treatment (for example, non‑refundable Stripe fees in case of refunds).By using the Service, you acknowledge and agree that third‑party transaction fees are outside WorldKam’s control and will be borne by the relevant party (Client or Provider) as described above.8.3 Client PaymentsClients agree to pay:The applicable Provider Fees for each Booking and any Purchased Content;Any Service Fees disclosed at checkout; andAny applicable taxes, surcharges, and third‑party transaction fees.You authorize WorldKam (and its payment processors) to:Charge your selected payment method when you confirm a Booking;Place holds or pre‑authorizations; andProcess additional charges in accordance with these Terms (e.g., change fees, no‑show fees, cancellation fees, or chargeback amounts).8.4 Provider PayoutsSubject to these Terms and WorldKam’s policies:WorldKam will remit to Providers the Provider Fees collected from the Client, less (i) the WorldKam Fee, (ii) any applicable Service Fees allocated to the Provider, (iii) applicable taxes withheld (if any), and (iv) any third‑party transaction or payout fees as described in Section 8.2.Payout timing and methods are determined by WorldKam and its payment processors and may vary based on risk, geography, and compliance checks.WorldKam may withhold or adjust payouts (in whole or in part) to address refunds, disputes, chargebacks, suspected fraud, policy violations, or other risk‑related reasons.8.5 Limited Payment Collection AgentEach Provider appoints WorldKam as its limited payment collection agent solely for the purpose of:Accepting Provider Fees and applicable taxes from Clients; andRemitting the net payout amount to the Provider (after permitted deductions).Payment by a Client to WorldKam is deemed payment to the Provider. If WorldKam does not remit amounts due to a Provider in breach of these Terms, the Provider’s recourse is against WorldKam, not the Client.8.6 Pricing Errors and DisputesIf there is an obvious error in pricing, WorldKam may cancel the Booking and issue a refund (less any non‑refundable third‑party fees) or require updated payment. Disputes about amounts charged should be raised promptly by contacting WorldKam support and, where applicable, your bank or card issuer.

9. Cancellations, Rescheduling, and Refunds9.1 General RulesCancellations and rescheduling are governed by the applicable WorldKam Cancellation & Rescheduling Policy, which is incorporated into these Terms by reference and displayed at checkout and in the Booking flow. That policy may distinguish between:Standard bookings made more than 24 hours in advance; andSame‑day or instant bookings made within 24 hours of the appointment time.9.2 Third‑Party Fees on RefundsUnless otherwise required by law:Stripe and other third‑party processing fees are typically non‑refundable to WorldKam.Accordingly, even if WorldKam or a Provider issues a full or partial refund of the Provider Fees or Service Fees, the Stripe or other processing fee portion may be deducted from the refund and is generally borne by the initiating party (usually the Client).WorldKam will disclose, where practicable, if certain fees are non‑refundable. By completing a Booking, you acknowledge and agree to this treatment of transaction fees.9.3 Provider Cancellations and Service IssuesIf a Provider cancels, fails to appear, or provides demonstrably substandard Services, WorldKam may:Assist the Client with a refund or credit (subject to Section 9.2);Attempt to rebook the Client with another Provider; and/orTake corrective action against the Provider (e.g., reduced payouts, penalties, suspension).WorldKam’s obligations in such cases are limited to those expressly stated in these Terms.

10. No Off‑Platform Activity / Non‑Circumvention (Summary)As a Provider, you may not use information obtained through the Service to solicit or accept work from Clients outside the Service for a specified non‑circumvention period, or encourage Clients to bypass the Service for payment or booking, as more fully described in the WorldKam Provider Agreement. Off‑platform activity may result in account termination and contractual penalties.Clients are similarly prohibited from soliciting Providers to transact outside of the Service in order to avoid fees.

11. Intellectual Property and Content11.1 Service Content and SoftwareThe Service and all content, software, and materials (excluding User Content and Content as handled below) are owned by WorldKam or its licensors and are protected by intellectual property laws. Except as expressly permitted, you may not reproduce, modify, distribute, or create derivative works from any part of the Service.11.2 Content Created for Clients (Photographs and Videos)Initial Ownership and Assignment to WorldKam Subject to applicable law and any separate written agreement, Providers agree that:The Content they create for a Booking is assigned to WorldKam, including associated intellectual property rights, so that WorldKam can administer licensing and delivery in a consistent way.Providers will execute further documentation as reasonably requested by WorldKam to confirm this assignment.Transfer to Clients for Purchased Content Upon WorldKam’s receipt of full payment of all applicable Provider Fees (and any taxes and fees) for a Booking, WorldKam will assign to the Client the intellectual property rights in the Purchased Content for that Booking, subject to any usage limitations or license terms expressly displayed in the Booking or package description. Content not purchased remains owned or controlled by WorldKam.Marketing Use by WorldKam Clients and Providers grant WorldKam a non‑exclusive, worldwide, royalty‑free license to use, display, and distribute Purchased Content (and, where applicable, non‑purchased Content) for marketing and promotional purposes, subject to any opt‑out mechanisms we may provide.11.3 Provider Portfolio UseProviders may request permission from WorldKam (and, where required, from the Client) to use certain images or video clips in their portfolio or marketing. Any such use will be governed by a separate license or written permission.11.4 User Content (Non‑Booking Content)If you upload, post, or share any User Content (e.g., profile photos, reviews, comments), you represent that you have all rights necessary to do so and you grant WorldKam a non‑exclusive, worldwide, royalty‑free, sublicensable, transferable, perpetual license to use, reproduce, display, and distribute that User Content in connection with operating, marketing, and improving the Service.11.5 Ratings and ReviewsClients may rate and review Providers, and Providers may rate Clients. Ratings and reviews must be accurate, not misleading, and comply with these Terms. WorldKam may remove or edit ratings and reviews that violate our policies.11.6 Data Usage and AI/ML ProcessingWorldKam may collect, analyze, and use data generated through use of the Service—including metadata, usage data, transaction history, and aggregated or de‑identified data—for purposes such as:Operating, maintaining, and improving the Service;Developing new products and features;Training, testing, and improving artificial intelligence or machine learning models;Security, fraud prevention, and analytics.Where data is personal data, we will process it in accordance with our Privacy Policy and applicable law.

12. Copyright Complaints (DMCA)If you believe that content on the Service infringes your copyright, you may send a DMCA notice as described in the original terms. (Retain your existing DMCA section, updated as needed with current contact details.)

13. DisclaimersTo the maximum extent permitted by law:The Service and all content are provided “AS IS” and “AS AVAILABLE.”WorldKam disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, quiet enjoyment, and non‑infringement.WorldKam does not warrant that the Service will be uninterrupted, secure, or error‑free, or that the Services provided by Providers will meet your expectations.You acknowledge that WorldKam does not control the conduct of Clients or Providers and does not guarantee the quality, safety, legality, or suitability of any Services.

14. Limitation of LiabilityTo the maximum extent permitted by law:WorldKam and its affiliates, officers, employees, agents, and licensors are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or other intangible losses arising out of or related to your use of or inability to use the Service.In no event will WorldKam’s total aggregate liability arising out of or related to the Service or these Terms exceed the greater of:The amounts you paid to WorldKam (excluding third‑party processing fees) in the twelve (12) months prior to the event giving rise to the liability; orOne hundred U.S. dollars (USD $100).Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

15. IndemnificationYou agree to indemnify, defend, and hold harmless WorldKam and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:Your use of the Service or Services;Your violation of these Terms;Your violation of any third‑party right (including any intellectual property, privacy, or publicity rights); orAny dispute or issue between you and a Client, Provider, or other third party.

16. Dispute Resolution; Arbitration; Class Action WaiverThis section should largely track your current arbitration clause, updated for clarity. In summary:Most disputes between you and WorldKam will be resolved by binding, individual arbitration, not in court.You and WorldKam waive any right to participate in a class action, class arbitration, or representative action.Limited claims may be brought in small claims court where available.(Keep your existing, detailed clause or update it to your preferred current standard.)

17. Changes to These TermsWorldKam may update these Terms from time to time. When we do, we will change the “Last Updated” date and, where required, provide additional notice (e.g., via email or in‑app). Changes will apply prospectively and become effective as stated in the notice. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.

18. MiscellaneousGoverning Law: These Terms are governed by the laws of the State of Delaware, without regard to conflict‑of‑law rules, except where preempted by federal law.Assignment: You may not assign or transfer these Terms or your rights or obligations hereunder without our prior written consent. WorldKam may freely assign these Terms.Entire Agreement: These Terms, together with the Privacy Policy and any policies referenced herein, constitute the entire agreement between you and WorldKam.Severability: If any provision is held invalid, the remaining provisions will remain in full force and effect.No Waiver: Any failure by WorldKam to enforce a provision is not a waiver of our right to do so later.Notices: WorldKam may provide notices to you via email, in‑app messages, or by posting on the Site.
